PREAMBLE

This License Agreement governs the use of the software [MoProSuite] (hereinafter „the Software“), developed at [CRM2, University of Lorraine / CNRS  ]. By downloading, installing, or using the Software, you agree to be bound by the terms of this license.

ARTICLE 1: Grant of License and Scope of Use

1.1 Academic and Research Use (Free of Charge)

A non-exclusive, personal, non-transferable, and royalty-free license is granted to the User strictly for academic, educational, or non-commercial scientific research purposes. Under this condition, the User is authorized to:

  • Install and run the Software on their own equipment.
  • Use the Software for their own research or teaching activities.

1.2 Commercial Use (Subject to a Specific Agreement)

Any use of the Software for commercial, industrial, or profit-making purposes is strictly prohibited under the terms of this license.

Commercial use includes, but is not limited to:

  • Integrating the Software into a product or service intended to be sold or leased.
  • Using the Software to provide paid services or consulting to third parties.
  • Using the Software within a private company or commercial entity for its internal business needs.

ℹ️ For any commercial use: You must contact the Developers at the University to negotiate a separate commercial license agreement.

ARTICLE 2: Intellectual Property

The Software is protected by copyright laws and international intellectual property treaties. [University of Lorraine / CNRS] retains full and exclusive ownership of the Software, its source code (if provided), its documentation, and all intellectual property rights related thereto. No ownership rights are transferred to you under this license.

ARTICLE 3: Citations and Publications

The academic User agrees to acknowledge the use of the Software in any scientific publication (article, thesis, conference paper) resulting from work using the Software, by citing appropriate reference(s) among the following ones:

ARTICLE 5: Limitation of Liability

In no event shall the University or the authors be liable for any direct, indirect, incidental, or special damages (including, but not limited to, loss of data, business interruption, or financial loss) arising out of the use or inability to use the Software.

ARTICLE 6: Governing Law and Jurisdiction

This license is governed by and construed in accordance with French law. In the event of any dispute arising out of or in connection with the interpretation or execution of this license, and failing an amicable settlement, exclusive jurisdiction is granted to the competent administrative courts within the jurisdiction of the University’s headquarters.
